These Terms & Conditions ("Terms") govern your access to and use of the websites operated by DisasterIQ, Inc. ("DisasterIQ," "we," "our," or "us"), including www.disasteraware.com, explore.disasteraware.com, and enterprise.disasteraware.com (collectively, the "Sites"), and the products and services we make available, including the DisasterAWARE Enterprise platform, the Event Intelligence API, Historical Event Intelligence, Geospatial Intelligence Layers, and our AI & Analytics Intelligence offerings (collectively, the "Services").

By accessing the Sites or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access the Sites or use the Services.

1. Eligibility

You must be at least 16 years old to use the Sites and Services. If you access the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Account Registration

Certain Services require you to register for an account. When you register, you agree to (a) provide accurate, current, and complete information, (b) maintain and promptly update your account information, (c) safeguard your account credentials, and (d) accept responsibility for all activities that occur under your account. Notify us immediately at support@disasteraware.com of any unauthorized use of your account.

3. License to Use the Services

Subject to your compliance with these Terms and payment of any applicable fees, DisasterIQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business or personal use.

You may not:

  • Resell, sublicense, distribute, or make the Services or their outputs available to any third party except as expressly permitted by a written agreement with DisasterIQ.
  • Copy, modify, translate, or create derivative works of the Services.
  • Reverse engineer, decompile, or disassemble the Services, except to the extent applicable law expressly permits.
  • Use the Services to build a competing product or service.
  • Remove or obscure any proprietary notices or labels on the Services.
  • Use automated means (bots, scrapers) to access the Sites or Services except through documented APIs and within published rate limits.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
  • Use the Services in violation of applicable law or the rights of others.

4. Data, Intelligence Sources, and Accuracy Disclaimer

The Services aggregate, enrich, and deliver hazard, weather, catastrophe, infrastructure, and operational risk intelligence from authoritative government agencies, scientific organizations, satellite observations, curated news sources, and proprietary models. While we make reasonable efforts to ensure accuracy and timeliness, the Services and their outputs are provided for informational and decision-support purposes only.

You acknowledge and agree that:

  • Hazard data, forecasts, and impact assessments involve inherent uncertainty and may be incomplete, inaccurate, or delayed.
  • The Services are not a substitute for official emergency management channels, government warnings, or professional judgment, and should not be relied upon as the sole basis for life-safety, evacuation, or emergency-response decisions.
  • Third-party data sources retain ownership of their original content, and their use is subject to their own terms and licenses.
  • Historical data represents observations at points in time and may not reflect current conditions.

You are solely responsible for verifying critical information and for the decisions and actions you take based on the Services.

5. Subscriptions, Fees, and Payment

Certain Services are provided on a subscription or paid-usage basis. Fees, billing terms, and included usage are as described in your ordering document, invoice, or the applicable pricing page on the Sites. Unless otherwise agreed in writing:

  • Fees are due in advance and are non-refundable except as required by law.
  • All fees are exclusive of taxes; you are responsible for applicable sales, use, VAT, or similar taxes.
  • Subscriptions renew automatically for successive terms unless cancelled prior to the renewal date.
  • We may change our pricing on notice for future terms; existing paid terms are not affected.

Trial or evaluation access, if offered, is provided at our discretion for the trial period specified. Trial access confers no ongoing entitlement to the Services.

6. Intellectual Property

The Sites, the Services, and all associated software, content, data outputs, documentation, and materials — other than third-party source data — are owned by DisasterIQ or its licensors and are protected by U.S. and international intellectual property laws. Except for the limited license granted in Section 3, no rights are granted to you by implication or otherwise.

Feedback. If you provide feedback, suggestions, or ideas about the Services, you grant DisasterIQ a perpetual, irrevocable, royalty-free, worldwide license to use them without restriction or obligation to you.

Your data. You retain all rights to data and content you provide or upload to the Services ("Customer Data"). You grant DisasterIQ a limited license to use Customer Data solely to provide, secure, and improve the Services, and to comply with legal obligations.

7. Third-Party Services and Links

The Sites and Services may contain links to, or interoperate with, third-party websites, applications, and services that are not owned or controlled by DisasterIQ. We are not responsible for the content, practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to those services' terms.

8. Prohibited Uses

You agree not to use the Sites or Services:

  • For any unlawful purpose or in violation of any applicable law, regulation, or third-party right.
  • To transmit malware, harmful code, or unsolicited communications.
  • To harass, abuse, threaten, or defame any person.
  • To impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • To interfere with, disrupt, or degrade the Services or the servers or networks connected to the Services.
  • To collect or harvest personal information about other users.
  • In connection with any activity that could result in death, serious personal injury, or catastrophic environmental harm without independent verification and appropriate professional oversight.

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms.

9. Disclaimers

THE SITES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, DisasterIQ disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISASTERIQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of (or inability to access or use) the Sites or Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total fees paid by you to DisasterIQ under the applicable order or subscription in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

The limitations in this Section 10 apply notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless DisasterIQ and its affiliates, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your access to or use of the Sites or Services, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any Customer Data or other content you submit through the Services.

12. Term and Termination

These Terms remain in effect while you use the Sites or the Services. You may stop using the Services at any time. We may suspend or terminate your access, in whole or in part, at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to access and use the Services will immediately cease. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. You and DisasterIQ agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Sites and Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.

Nothing in this Section limits your rights under any mandatory consumer protection laws that may apply to you.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we will provide additional notice (such as a banner on the Sites or an email to registered users). Your continued use of the Sites or Services after the effective date of updated Terms constitutes your acceptance of them. If you do not agree to the updated Terms, stop using the Sites and Services.

15. Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy and any ordering documents, constitute the entire agreement between you and DisasterIQ regarding the Sites and Services.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No agency. No agency, partnership, joint venture, or employment relationship is created between you and DisasterIQ by these Terms.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of war, government actions, labor disputes, or utility or telecommunications failures.
  • Notices. Legal notices to DisasterIQ must be sent to the address in Section 16. We may provide notices to you at the email address associated with your account.
